1. Introduction

1.1 These Terms and Conditions (“Terms”) govern the submission, publication, purchase and management of business listings on [Your Website Name] (“the Platform”).

1.2 By submitting a listing (whether free or Featured), purchasing a Featured Listing, or maintaining a listing on the Platform, you (“the Business”, “you”, “your”) agree to be legally bound by these Terms.

3. Eligibility and B2B Basis

3.1 Listings are available only to businesses, sole traders and organisations acting in the course of business.

3.2 By submitting or purchasing a listing, you confirm and warrant that:

  • You are acting wholly in the course of business;
  • You are not acting as a consumer;
  • You have authority to bind the business named in the listing;
  • All information provided is accurate and complete.

3.3 Consumer protection legislation, including the Consumer Contracts Regulations 2013, does not apply.

4. Standard (Free) Listings

4.1 We may offer free listings at our discretion.

4.2 Free listing pages may contain third-party advertising, sponsored placements or affiliate content.

4.3 We reserve the right to edit, categorise, reposition, suspend or remove any listing at any time.

4.4 Free listings are provided without guarantee of visibility or prominence.

5. Featured Listings

5.1 A Featured Listing is available for a fee of £25 per year.

5.2 All fees are stated in pounds sterling (£). VAT will be added where applicable.

5.3 A Featured Listing:

  • Is valid for 365 days from payment;
  • Does not automatically renew;
  • Must be manually renewed;
  • Is non-transferable.

5.4 The Featured Listing fee is strictly non-refundable, including where:

  • You request removal;
  • You cease trading;
  • You receive no enquiries, leads or views;
  • Your listing is suspended for breach of these Terms.

5.5 We may refuse, suspend or remove a Featured Listing at our discretion. No refund shall be payable.

6. No Guarantee of Results

6.1 We do not guarantee:

  • Any number of views or enquiries;
  • Any business outcomes;
  • Any search engine ranking;
  • Continuous or uninterrupted availability.

6.2 The Platform is provided “as is” and “as available”.

7. Content Standards

7.1 You warrant that your listing content:

  • Is accurate and not misleading;
  • Complies with UK law;
  • Does not infringe third-party rights;
  • Is not defamatory, unlawful or abusive.

7.2 You must promptly update inaccurate information.

8. Intellectual Property and Licence

8.1 You retain ownership of your content.

8.2 By submitting content (including logos, branding, trade marks and images), you grant us a non-exclusive, worldwide, royalty-free, sublicensable licence to:

  • Publish and display the content;
  • Use your business name, logo and trade marks in connection with promoting the Platform;
  • Reproduce and distribute the content digitally;
  • Adapt formatting for technical or layout purposes.

8.3 You warrant that you have full authority to grant this licence.

8.4 You agree that your business name, logo and trade marks may appear in marketing materials relating to the Platform without additional compensation.

9. Third-Party Advertising

9.1 We may display advertising, sponsored content or affiliate links on the Platform, including on listing pages.

9.2 We do not endorse third-party advertisers.

9.3 You have no entitlement to advertising revenue or compensation.

10. Anti-Scraping and Data Harvesting

10.1 The directory database and compilation constitute proprietary material protected under UK copyright and database rights law.

10.2 You must not:

  • Use automated tools to extract data;
  • Scrape or harvest listings;
  • Copy substantial parts of the database;
  • Reproduce directory content for commercial purposes;
  • Use bots, crawlers or scraping software.

10.3 Unauthorised extraction or reuse may constitute infringement under the Copyright, Designs and Patents Act 1988.

10.4 We reserve the right to pursue legal remedies.

11. User Reviews and User-Generated Content

11.1 The Platform does not currently provide a review facility.

11.2 If a review or rating system is introduced:

a) Reviews constitute user-generated content provided by third parties.
b) We act solely as an intermediary host of such content.
c) We do not endorse, verify, approve or guarantee the accuracy of any review.

11.3 We are under no obligation to:

  • Monitor reviews;
  • Pre-screen content;
  • Investigate factual accuracy;
  • Resolve disputes between reviewers and businesses.

11.4 To the fullest extent permitted by law:

  • We shall not be liable for any loss, damage, reputational harm or business interruption arising from user-generated reviews;
  • We shall not be responsible for defamatory, false or misleading statements posted by third parties.

11.5 If notified of allegedly unlawful or defamatory content, we may remove or disable access to such content at our discretion.

11.6 You acknowledge that:

  • Reviews may contain opinions with which you disagree;
  • Removal is not automatic upon complaint;
  • We retain sole discretion over moderation decisions.

11.7 You agree to indemnify and hold us harmless against any claims arising from:

  • Your own responses to reviews;
  • Any content you submit in a review system;
  • Any legal dispute arising between you and a reviewer.

11.8 Nothing in this clause limits any statutory defences available to us under applicable UK law relating to intermediary service providers.

12. Limitation of Liability

12.1 Nothing excludes liability for death or personal injury caused by negligence, fraud, or liability that cannot lawfully be excluded.

12.2 Subject to clause 12.1, we shall not be liable for:

  • Loss of profits or revenue;
  • Loss of business opportunity;
  • Loss of goodwill or reputation;
  • Loss of data;
  • Indirect or consequential loss.

12.3 Our total liability shall not exceed the total fees paid by you in the preceding 12 months.

13. Indemnity

You agree to indemnify and hold us harmless against all claims, damages, costs and liabilities arising from:

  • Your listing content;
  • Any dispute between you and a customer;
  • Any review-related dispute involving your business.

14. Suspension and Termination

We may suspend or remove any listing immediately where:

  • You breach these Terms;
  • We reasonably suspect unlawful conduct;
  • Your listing exposes us to legal or reputational risk.

No refund shall be payable.

15. Force Majeure

We shall not be liable for failure or delay caused by events beyond our reasonable control, including hosting failures, cyber incidents or telecommunications outages.

16. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior communications relating to listings.

17. Changes to These Terms

We may amend these Terms at any time. Updated Terms take effect upon publication.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
